According to a US securities filing on Friday, Marvel Entertainment Inc would have to pay the Walt Disney Co a fee of $140 million if it chooses to terminate a proposed $4 billion merger agreement.
The deal contains termination rights for both Disney and Marvel, including Marvel's right to stop the merger to pursue a 'superior deal'.
Disney is interested in Marvel because it appeals to superhero-fixated 'boys', whereas Disney is known for its soft appeal to 'girls' with shows the likes of "Hannah Montana", "The Little Mermaid", etc.
Marvel has agreed not to solicit other merger offers and would only be required to pay Disney a termination fee of $140 million under 'specified circumstances'.
Disney executives expect the deal to close by the end of the year...
